Terms & Conditions
These Terms and Conditions ("Terms") govern your use of the FreightScout and SalesScout platforms operated by FreightScout, Inc. ("FreightScout," "we," "us"). By using our services, you agree to these Terms. If you do not agree, do not use the service.
1. Service Description
FreightScout provides execution intelligence software for freight brokerages, including load coordination, carrier communication, and sales prospecting tools. FreightScout is the provider and operator of the service. All communications sent through the platform — including email, SMS, and voice — are sent by FreightScout as part of the service we provide.
2. Eligibility and Accounts
The service is available to freight brokerages and their authorized personnel. Access is provisioned by a brokerage administrator. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
3. Acceptable Use
You agree to use FreightScout only for lawful freight brokerage operations. You will not:
- Use the platform to send unsolicited commercial messages, spam, or marketing communications to individuals who have not consented to receive them.
- Attempt to circumvent access controls, security features, or rate limits.
- Use the platform to harass, threaten, or defraud any person.
- Share your account credentials with unauthorized individuals.
- Use the service in any way that violates applicable federal, state, or local law or regulation.
4. SMS and Messaging Terms
FreightScout sends operational text messages as part of freight brokerage operations managed through our platform. By providing a mobile phone number during load booking, carrier onboarding, or shipment coordination, you consent to receive operational SMS messages from FreightScout related to active shipments and business operations.
Message types. Messages are transactional, operational communications tied to active shipments — for example: load check-calls and status requests, driver and carrier coordination, appointment and scheduling notifications, and shipment status updates. FreightScout does not send marketing or promotional messages.
Message frequency. Message frequency varies based on load and shipment activity.
Cost. Message and data rates may apply per your mobile carrier plan.
Opt-out. You may opt out at any time by replying STOP to any message. You will receive one confirmation and no further messages unless you reply START to re-subscribe.

No third-party sharing. Mobile information, including phone numbers and messaging consent, will not be sold, rented, or shared with third parties or affiliates for marketing or promotional purposes. Information is shared only with messaging service providers (SMS aggregator and telecom carriers) strictly to deliver the messages you have agreed to receive.
Carrier liability. Carriers and mobile network operators are not liable for delayed or undelivered messages.
5. Intellectual Property
All content, features, and functionality of the FreightScout platform are owned by FreightScout, Inc. and are protected by copyright, trademark, and other intellectual property laws. Your use of the service does not grant you any ownership rights in the platform or its content.
6. Data and Privacy
Your use of FreightScout is also governed by our Privacy & Messaging Policy, which describes how we collect, use, and protect your data, including detailed disclosures about email, calendar, and SMS data handling.
7. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue the service at any time with reasonable notice to active customers. Scheduled maintenance will be communicated in advance when possible.
8. Limitation of Liability
To the maximum extent permitted by law, FreightScout shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service. Our total liability for any claim arising from these Terms shall not exceed the fees you paid to FreightScout in the twelve months preceding the claim.
9. Indemnification
You agree to indemnify and hold harmless FreightScout, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the service, your violation of these Terms, or your violation of any applicable law or regulation.
10. Termination
Either party may terminate the service relationship at any time. Upon termination, your access to the platform will be revoked and your data will be handled in accordance with our Privacy & Messaging Policy.
11. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Delaware.
12. Changes to These Terms
We may update these Terms as our service evolves. Material changes will be communicated to active brokerage administrators. Continued use of the service after changes constitutes acceptance of the updated Terms.
